Terms of Service

1. Agreement
By engaging Wynexorium Technologies LLP ("Wynexorium", "we", "us") for web development services, you ("Client") agree to these terms. These terms are supplemented by the project proposal signed by both parties, which takes precedence in the event of any conflict.
2. Services
Wynexorium will deliver the services defined in the signed project proposal. Any additional work outside the agreed scope will be quoted separately as a change request before any additional work begins. Wynexorium reserves the right to decline scope additions that conflict with project timelines or technical architecture.
3. Payment terms
Standard payment terms are 50% upfront before work begins and 50% on delivery. Enterprise projects are structured as milestone-based payments. All invoices are due within 7 days of issue. Late payment beyond 14 days may result in work being paused until the outstanding balance is cleared. Prices are in INR unless otherwise stated in the proposal. GST is charged at the applicable rate for Indian clients.
4. Intellectual property
Upon receipt of final payment, the Client receives full ownership of all custom code, designs, and content produced specifically for their project. Wynexorium retains the right to display the project in its portfolio and case studies unless the Client requests confidentiality in writing. Third-party libraries, plugins, and fonts remain subject to their respective licences. Wynexorium retains ownership of internal frameworks, boilerplate code, and tools used across projects.
5. Client responsibilities
The Client is responsible for providing content (copy, images, brand assets) by agreed dates, timely feedback on staging builds (within 5 business days), access to required platforms (hosting, CMS, domain), and accurate information about technical requirements. Project delays caused by late content or feedback do not extend the quoted delivery date without a change request.
6. Revisions
Two rounds of revisions are included within the agreed scope at each build milestone. Additional revision rounds are quoted as change requests at an hourly rate specified in the proposal.
7. Post-launch support
All projects include a 30-day post-launch support window for bug fixes related to the delivered build. Issues caused by third-party platform changes, hosting configuration changes made by the Client, or Client-added plugins/code are not covered by post-launch support.
8. Termination
Either party may terminate the project with 14 days written notice. In the event of Client termination, the Client will be invoiced for all work completed to date at the day rate specified in the proposal. The 50% upfront payment is non-refundable as it covers discovery, architecture, and initial build work. Wynexorium may terminate immediately if payment is not received within 30 days of invoice due date.
9. Limitation of liability
Wynexorium's total liability for any claim arising from a project shall not exceed the total amount paid by the Client for that project. Wynexorium is not liable for indirect or consequential losses, loss of revenue, or loss of data arising from website downtime, third-party platform failures, or hosting issues outside of Wynexorium's direct control.
10. Governing law
These terms are governed by the laws of India. Any disputes shall be subject to the exclusive jurisdiction of the courts of Pune, Maharashtra, India.
